Terms of Service
Last updated: March 2026. These terms govern fixed-price course production and instructional design engagements with Tamitu Solutions LLC.
Services
Tamitu Consulting provides fixed-price instructional design and course production engagements. The scope, deliverables, acceptance criteria, and timeline for each engagement are defined in a Statement of Work (SOW) agreed upon before work begins. Each SOW is the binding specification for that engagement.
Payment
Engagements are fixed-price. There is no hourly billing. Payment amounts, schedule, and method are defined in the SOW for each engagement. Work begins after receipt of any deposit or payment specified in the SOW.
Scope and change orders
Tamitu will deliver what is defined in the SOW. Work outside the agreed scope requires a written change order before execution. A change order documents the additional work, adjusted timeline, and any change to the project fee. No out-of-scope work will proceed without written agreement from both parties.
Warranty
Tamitu warrants that deliverables will conform to the acceptance criteria defined in the SOW. Defects within those criteria that surface within 30 days of the accepted delivery date will be remediated at no additional cost.
The warranty does not cover:
- Changes to scope or content after acceptance
- Failures caused by third-party platforms (LMS software, browsers, hosting infrastructure)
- Issues introduced by client-side modifications after delivery
Intellectual property
Upon receipt of full payment, the client owns all deliverable course materials produced under the SOW. Tamitu Solutions LLC retains no rights to client-specific content after payment is complete.
Tamitu retains the right to reference the type of engagement (for example: "fixed-price course catalog conversion") for marketing purposes, without disclosing client-specific content or identifying information. This right is subject to any NDA in effect.
Confidentiality
Tamitu will sign a Non-Disclosure Agreement (mutual or one-way) on request. Regardless of whether a formal NDA is in place, Tamitu treats all client materials, course content, and internal information as confidential and does not disclose them to third parties.
Limitation of liability
Tamitu's total liability for any claim arising from an engagement is limited to the value of the fee paid for that engagement. Tamitu is not liable for indirect, incidental, consequential, or punitive damages of any kind, including lost revenue or data loss.
Governing law
These terms and any SOW are governed by the laws of the State of Iowa, United States. Any disputes will be resolved in Iowa courts unless both parties agree to an alternative in writing.
